Job Description

Our Client:

Our client is a listed company in Tokyo Stock Exchange Prime. They engage in manufacturing and supply of substation and other relevant electronic equipment, and providing social infrastructure and industrial systems construction, maintenance, and servicing in Japan and throughout the world. They are actively looking for a Senior Legal Principal to join their team in Singapore.

The Responsibilities:

This Legal Counsel's roles and responsibilities will include:

* Contract preparation, review, and negotiation support

○ Review contracts for sales, construction, purchasing/procurement, or EPC (engineering, procurement, and construction) and other commercial matters. Direct participation in negotiation may be requested depending on situations

○ Tasks include support for seeking approval from headquarters on essential deals, by providing certain explanation on the matters
○ Update existing standard contracts, systems, and procedures, provides training and guidance to internal clients

* Dispute resolution support

○ Support business teams to solve emerging and actual claims and disputes, litigations, and arbitration

* Policy making and corporate governance support

○ Draft, update and arrange policies of regional entities, and liaise and coordinate necessary documentation with General Manager of Legal and with the headquarters to fulfil its corporate governance requirements

* Training preparation and hosting

○ Prepare, lead, and host the training and guidance sessions for our employees on certain contract issues, compliance, and policies matters (with topics including anti-bribery, anticompetition, and personal data protection regulations)

* Corporate administration

○ Manage the corporate secretarial matters such as annual general meeting and board meeting of affiliate entities within the region
○ Depending on the company's needs, other legal and operational tasks may be required, occasionally in relation to the headquarters in Japan
○ Depending on complexity, risks and importance of matters, coordination with external law firm(s) may be required

The Requirements:

* Bachelor's Degree or higher Degree in Law or relevant areas
* 6 years or more of experience covering responsibilities broadly as corporate legal counsel in drafting, reviewing, and negotiating contracts, and spotting issues and analyzing risks, and supporting dispute resolutions as well as company policy making and governance support, and corporate administration
* Good experience as legal in relevant industries (e.g. manufacturing, construction/EPC, infrastructure and energy industries) will be valuable
* Commercial business perspective and understanding (and willingness to foster and accommodate them including the transactional background and history) (as transactions often require such commercial considerations rather than purely legal solutions)
* He/she has enthusiasm for and genuine interest in contributing to the manufacturing, supply, construction, and infrastructure works that our Group would provide
* Friendly and flexible personality with good communication skills (to work with internal and external clients, and within our Legal Division and with the headquarters/affiliates' legal teams, etc.)
* Interest in working and willingness to work in a Japanese company's group and its affiliates, and with passion to support their group/company operations for further worldwide growth
* Ability to work effectively and efficiently and coordinate across multiple functions
* Being a proactive and independent thinker
