Job Description

Permanent opportunity with a stable Renewable Energy Company
Regional Exposure, APAC with HQ in India

Our Client:

An excellent opportunity to join our client who is a multinational company in the Renewable Energy Industry. They are part of an Investment Group and has a Holding company in Singapore. In Singapore, you will be working in a headcount of 5 where office in India has 60 employees. The Corporate Secretary will be reporting to CEO/CFO based in Singapore.

The Responsibilities:

Part of a local size of 5, this role is based in Singapore and will be focusing on providing company secretarial support to the business.

* Assisting with preparation of papers and logistics for board meetings and annual general meetings including compiling meeting booklets, AGM Notice, filings with ACRA
* Drafting and review Board Resolutions and Minutes of Meetings
* Assisting in the preparation of the Corporate Governance Report and sections of the Annual Report and requiring corporate secretarial inputs
* Assisting in the preparation and issuance of closed period notices when required, paperwork and notifications on share buybacks, changes in shareholding (including substantial shareholders, directors) and share plans
* Facilitating corporate changes, such as, change of company officers, registered address, bank signatories, etc and related ACRA lodgements
* Filing and maintaining updated minute books, statutory registers and any other corporate secretarial related documents
* Preparing and circulating annual meeting documents/resolutions
* Liaising and coordinating with external service providers on statutory and compliance filings
* Ensure companies' compliance with corporate governance and statutory requirements
* Maintain Statutory Registers and Records under the provisions of Singapore Companies Law
* Liaise with registered agents and solicitors in various jurisdictions and group companies on corporate secretarial and legal matters
* Preparation and drafting of reports for submission of Companies Annual Returns
* E-lodgement of documents to ACRA and other Government Agencies
* Provision of advice on general contractual issues
* Digitalisation & archiving of Co Sec records
* Management & Issuance of POAs

The Requirements:

* Qualified ICSA* candidate with prior experience of minimum 4-5 years in handling corporate secretarial role
* Good knowledge in Law, Companies Act & ACRA requirements
* Proficient in Microsoft Office (Word, Excel and PowerPoint)
* Highly organized and meticulous
* Mature, independent, resourceful with a pleasant disposition
* Excellent writing and oral communication skills
* Good team player
