(Corporate) Governance Analyst

Our Client:

Our client is one of the world's leading oil majors, with business activities ranging from upstream exploration and production, midstream transportation to downstream manufacturing, marketing and distribution of energy products.

The Role:

* Reporting to the Managing Counsel, the candidate will look after Singapore office with the following responsibilities:
* Prepares/executes documents for the incorporation, merger, qualification, dissolution, capital changes, acquisition or sale of Singapore legal entities and legal entities of other jurisdictions as assigned from time to time
* Assists business units with resolutions, notices and all other documentation for board and shareholder/stockholder meetings
* Coordinates and ensures that all legal entities hold regular, special/extraordinary and annual meetings of shareholders/stockholders and the board of directors
* Ensures that in-house Subsidiary Database (Diligent Entities) is current
* Works with business units to process personnel announcements affecting legal entities of Singapore and any other jurisdictions as assigned from time to time, and related director/officer changes. Ensures that changes are properly minuted and that relevant statutory filings and declarations are properly made
* Maintains business licenses and registrations and makes all necessary filings relating to legal entities of Singapore and any other jurisdictions as assigned from time to time
* Maintains legal entity records and files (minute books), company seal and necessary registers
* Works closely with business units to anticipate and expedite governance requirements of the units' business plans and strategies affecting legal entities of Singapore and other jurisdictions as assigned from time to time
* Advises and gives training to business units on areas such as corporate governance, changes to corporate structure, officers, directors, delegations of authority, powers of attorney, execution authority geographical restrictions)
* Ensures proposals regarding change to corporate structure, officers, directors comply with requirements
* Ensures all dividends, capital contributions and formal loans are properly approved and executed by legal entities of Singapore and other jurisdictions as assigned from time to time. Coordinates with Corporate Governance to ensure that multi-step financial transactions are promptly and accurately handled
* Coordinates audits with internal and external auditors
* Provides governance advice and guidance regarding corporate separateness, directors and officers duties, and ensures legal entities meet legal requirements of Singapore including compliance with the Singapore Companies Act and other jurisdictions as assigned from time to time
* Prepares complex resolutions, notices, waivers, etc. for board and shareholder/stockholder meetings
* When necessary, executes contracts, legal documents, certifications; approves and executes minutes, written consents, waivers and other legal documents which maintain legal existence of legal entities
* Reviews powers of attorney to ensure compliance with internal policies.
* May be required to act as appointed company secretary for certain Singapore legal entities. Qualified company secretary preferred
* Any other legal work as necessary to support the Singapore office

Requirements:

* Bachelor's Degree in Law or Juris Doctor equivalent.
* Minimum of three years of work experience ideally as a Paralegal or Corporate Governance Officer ideally from large corporate, listed entities.
* Highly motivated self-starter capable of working in a team environment.
* Strong knowledge of Singapore laws.
* Exceptional written and verbal communications skills.
