Our Client:
Our client is one of the top leading healthcare companies with its headquarters in Japan The Corporate M&A division consist of a global member located in Singapore, United States and Japan, and they are looking for a Director, Mergers & Acquisitions VP (Corporate HQ) based in Singapore.
The Responsibilities:
Formulate and execute corporate level acquisition strategy
* Propose the acquisition ideas with senior management to add new business domains to the Group
* Research and assess potential industries/markets and the companies; evaluate acquisition targets for strategic, financial, and commercial fit to ascertain their suitability and appropriate prioritization
* Explore acquisitions targets globally and identify new growth opportunities
Provide corporate level oversight and supports divisional team for their inorganic growth strategy in existing and adjacent areas of high-tech and healthcare industries
* Identification and assessment of acquisition/partnership opportunities to support divisional inorganic growth strategy
* Business and synergies assessment, business and investment case for the acquisition/partnership, and outlining of assumptions/key diligence requirement and major terms
Engage in acquisition/partnership discussion and PMI at corporate level and divisional level
* Target approach, LOI/term sheet, financial valuation, deal structuring, due diligence, and negotiation of terms
* Engagement in PMI Plan and implementation
The Requirements:
* Minimum 5 years' experience at either an major corporate at HQ level, management consulting, investment bank, transaction advisory or financial sponsor
* Experience in industry/business research and analysis, strategy assessment and formulation, articulation of investment cases; thorough the in-house activities including secondary and primary industry interviews, consumer research, and strategic and financial assessment
* Experience in engaging in M&A deal process including target listing, target approach, business case, financial valuation, transaction structuring, transaction process management, due diligence and negotiation of agreements, across mid-sized to large deals
* Experience in PMI planning and implementation and post-acquisition monitoring
* Ability to understand technical and clinical contents in high-tech and healthcare related industries
* Good skills in various business study/research activities, strategy assessment and formulation, business case/financial modelling, financial and legal due diligence, negotiation and legal documentation, and PMI planning
* Bachelor's or master's degree in Business Administration or equivalent knowledge and capability; in business strategy, marketing, operation, accounting and finance
* Experience in project lead of geographically and culturally diversified team
* Collaborative hands-on working style, focused on achievements
* Adaptable, tenacious, self starter and self reliant
* Japanese language capabilities will be an added advantage to liaise with Native Japanese speaking clients and corporates
